i will create another database under /en folder.
if i copy my content folder to /en/content/ will all the themes, gallery,plugins work?

It could, watch the path variables in your settings and make sure you’re not using absolute paths throughout your site. Although I’m not sure what the project is, perhaps http://mu.wordpress.org would help.
As long as you update the table prefix value in the config file to point to a different set of tables in the database for each blog, everything else can be shared.
Most people do create a complete copy of all the files though as it is easier to set up that way.
